What is an Anonymous LLC?

Here are two words you don’t see together often – Anonymous LLC (Anonymous Limited Liability Company).  A little imagination might suggest it’s an LLC that doesn’t have a publicly-disclosed name or maybe one that doesn’t even exist.  How can an LLC be anonymous? Don’t LLCs have to be publicly formed?  Well, Anonymous LLC is actually the name of a service provided by Law 4 Small Business, P.C. (L4SB) where the firm creates an LLC that does not publicly disclose the ownership information (i.e. members) of the LLC in the state in which the LLC is registered. This is accomplished by the firm acting as the organizer and registered agent for the new LLC in select states, as well as utilizing its status as a law firm to convey attorney-client privilege and confidentiality.  Thus, the Anonymous LLC is formed.

Why Form an Anonymous LLC in Alabama

An Anonymous LLC provides all of the benefits of a regular LLC. There are many reasons a limited liability company (or LLC) is an excellent choice for small businesses. The following are usually of highest importance for most people:

Limited Liability Protection
An LLC can help protect the members or owners from personal liability attaching from the activities of the business.
Tax Advantages
An LLC provides tax advantages over a sole proprietorship or partnership, in that the IRS permits more deductions. For example, medical insurance expenses. Consult your tax advisor for more information about the tax advantages associated with an LLC.
Flexibility
LLCs permit you to bring on partners at different, clearly defined levels. Furthermore, LLCs enable you to separate important assets or business functions, giving you the ability to vary or alter ownership among these assets or functions. You can also sell off or merge such assets or functions much more easily than if all your assets or business functions were in one large whole.
Survivability
An LLC will survive you, should you become deceased or incapacitated. A business entity, such as an LLC, is the ONLY way to cost-effectively ensure your business survives to the benefit of your family or estate.

The following benefits are unique to our Anonymous LLCs:

Privacy Protection
Ownership information is not made publicly available.
Harassment Prevention
It is not possible for members of the public to look up the ownership information of Anonymous LLCs, which prevents owners of the Anonymous LLCs from becoming harassed due to the type of business, subject matter or other issues involving the business.
Confidentiality
Conducting business or business deals under the guise of an Anonymous LLC helps preserve confidentiality among the participants.

Anonymous LLCs are the perfect choice for landlords who don’t want to be contacted by tenants (especially those landlords who have property managers), famous individuals who want to conduct business privately, abused victims who wish to prevent their aggressors from looking them up, and business leaders who prefer a level of privacy and separation from their personal lives.

Maximize Your Personal and Business Privacy

An Anonymous LLC helps preserve the privacy of business owners by not permitting the ownership information to be associated with the LLC filing. When Law 4 Small Business files an Anonymous LLC on your behalf in a state where such anonymity is possible, your personal information remains undisclosed and unpublished to the public. Anonymous LLCs protect privacy, prevent harassment and preserve confidentiality. By selecting Law 4 Small Business to form your Anonymous LLC, you are taking advantage of an actual law firm — with attorney-client privilege — to help preserve your confidentiality and privacy.

Law 4 Small Business Registered Agent

Licensed attorneys will serve as your registered agent. If we are served any legal documentation or correspondence, we will forward it to you confidentially. Only a law firm, connected to your business as a Registered Agent, can provide a strong deterrent to others who may seek to find or harass you. If L4SB is served a summons or subpoena in an attempt to identify you, we will first attempt to negotiate the summons or subpoena away and failing that, we will work with your local counsel so they may assert our attorney-client privilege.

How Anonymous LLC Ownership Keeps You Anonymous in Alabama

When filing an LLC, most states require identification of the owners or managers. It is possible to prevent the publication of the ownership information of an LLC to the public. Law 4 Small Business accomplishes this by identifying itself as the organizer and registered agent, the only specific information contained within the Articles of Organization that is published by the State.

Note that anonymity is not absolute. An Anonymous LLC will not prevent you from paying taxes or hiding ownership information from the IRS or your bank. Furthermore, an Anonymous LLC is not immune to lawsuits, and a competent attorney may use the subpoena power of the courts in a lawsuit, to identify the owners of an LLC.
