Anonymity Depends on Where You’re Located

L4SB defines anonymity as preventing ownership information from appearing on a state website where your company is listed (i.e. a Secretary of State). We cannot keep you anonymous from the banks or the IRS.

How you remain anonymous depends on the state where you’re located, and what state (or states) you are “conducting business”. It’s not where you get your customers, ex. the Internet. The best approach is to assume you’re “conducting business” from the state you reside, and go from there.

Bankruptcy Can Complicate Things

If you want to close and/or dissolve your company, and it has outstanding debts, liabilities or other obligations it cannot satisfy, bankruptcy may be necessary.

If bankruptcy is not necessary, then you can simply dissolve your company and wind-down the affairs of the company as dictated in your formation documents. We recommending doing this after all possible issues have resolved themselves — otherwise you will be dissolving and eliminating the only thing protecting you (and any other owners) from personal liability.

Moving a Company

The costs and effort involved in moving your company will depend on a number of things, including the type of company you have, and whether you want to preserve your FEIN or not.

Adding Partners

There are many issues that go into adding partners, owners and/or investors.

L4SB can help you in most instances, except when you need a securities lawyer. Securities is a specialized area of the law, and if you are selling interests in your company to the general public, you really need to consult with a securities attorney.

Partnership Separation Can Be Traumatic

Think nasty divorce, but with a lot of money and other people’s jobs on the line.

While we at L4SB certainly hope any partnership separations are on good terms, we do have a lot of experience dealing with not-so-pleasant departures.

Anonymous Structures Have Difficulties with DBA’s

Many states require disclosure of ownership or beneficial ownership information when you submit a DBA.

Therefore, if anonymity is important to you, you may need to add a parent/child structure if you don’t already have one, or file a new child-level LLC to do business under a new name versus file a DBA.

Protecting a Brand Requires a Trademark

Trademarks help you protect Words or Designs (i.e. logos) that are associated with a product or service. To obtain a federal-based trademark, which provides protection at the state and federal level, the Words in your brand cannot be descriptive, nor can they be “confusingly similar” to a pre-existing trademark.

A state-based trademark cannot provide national protection, but they can help you protect your name within your state. Also, most states will permit you to protect a brand that is more descriptive.
